1. Agreement to these Terms
These Terms of Service (the “Terms”) are a binding agreement between you and Enavox Corporation (“GridMagic,” “we,” “us,” or “our”). They govern your access to and use of the GridMagic website, browser extensions, spreadsheet integrations, APIs, and related services (collectively, the “Service”).
By accessing or using the Service, you agree to these Terms. If you use the Service for a company or other organization, you represent that you have authority to accept these Terms on its behalf. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old and legally able to enter into a contract to create an account or use the Service. You may not use the Service if applicable law prohibits you from doing so.
3. What GridMagic does
GridMagic lets you select content from a web page, save a reusable clip, and retrieve the latest cached value through supported spreadsheet formulas. Depending on your plan and the source website, values may be refreshed through your browser, GridMagic’s systems, or a third-party retrieval provider.
Features, supported browsers and spreadsheet applications, refresh methods, usage limits, and refresh intervals may change as the Service evolves. Updates are often performed hourly, but timing can vary depending on overall service load, account usage, optimizations, and other factors. A stated refresh interval is a target, not a guarantee that a refresh will finish at an exact time.
Refreshes are best effort. GridMagic makes good-faith attempts to retrieve updated values, but we cannot guarantee that a refresh will occur at a particular time, succeed, or return a complete, accurate, or current value. If an attempt fails, the Service may continue returning the last value it retrieved successfully.
4. Accounts and security
Some features require an account authenticated through Google or Microsoft. You agree to provide accurate information and to keep your account, devices, formulas, and sign-in methods secure. You are responsible for activity that occurs through your account unless caused by GridMagic’s breach of these Terms or applicable law.
Promptly notify us through the support contact made available in the Service if you believe your account or a clip share ID has been accessed without authorization.
5. Your clips and content
“User Content” means the URLs, selected values, titles, labels, selectors, instructions, and other information you submit or cause the Service to process. You retain any rights you have in your User Content.
You grant GridMagic a non-exclusive, worldwide, royalty-free license to host, copy, retrieve, refresh, process, transmit, and display User Content only as reasonably necessary to provide, secure, maintain, troubleshoot, and improve the Service and to comply with law.
You are responsible for your User Content and for ensuring that you have all rights and permissions needed to submit and process it. Do not submit passwords, authentication tokens, payment-card details, health records, or other sensitive or regulated information unless you are authorized to do so and have determined that the Service is appropriate for that use.
6. Formulas and share IDs
A GridMagic formula contains a long share ID that allows the formula to retrieve a clip’s cached value without signing in. Anyone who obtains that share ID may be able to retrieve the cached value, status, and requested value history.
Treat formulas and share IDs as sensitive. You are responsible for deciding where a formula is placed, who can access the spreadsheet, and how copied or exported formulas are shared. Removing a formula from a spreadsheet does not automatically delete the related clip from GridMagic.
7. Source websites and acceptable use
GridMagic does not give you ownership of, or permission to access or use, content from a source website. You are responsible for complying with applicable law, the source website’s terms, and any contractual, technical, privacy, or access restrictions that apply to you.
You may not use the Service to:
- Access, collect, store, transmit, or distribute content that is illegal to possess, process, or share.
- Access content or systems that you are not authorized to access.
- Bypass paywalls, authentication requirements, security controls, or technical access restrictions.
- Infringe intellectual property, privacy, publicity, contractual, or other rights.
- Collect personal information unlawfully or without any notice, permission, or consent required by law.
- Facilitate fraud, harassment, exploitation, discrimination, malware, or other harmful conduct.
- Probe, overload, interfere with, or disrupt GridMagic, a source website, or another service.
- Evade plan limits, account restrictions, rate limits, or security measures.
- Resell or provide the Service to third parties unless we have authorized it in writing.
- Reverse engineer or attempt to extract source code from the Service except where applicable law expressly permits it.
We may restrict or suspend activity that we reasonably believe violates these Terms, creates legal or security risk, or could harm GridMagic, our users, a source website, or another person.
8. Accuracy and appropriate use
A clipped value may be delayed, stale, incomplete, incorrectly extracted, or unavailable because a page changed, blocked access, required authentication, returned different content, or failed to respond. You are responsible for reviewing and verifying values before relying on them.
The Service is not designed for emergency, safety-critical, medical, legal, financial-trading, or other uses where an incorrect or delayed value could cause serious harm. GridMagic formulas return cached values and are not guaranteed real-time data sources.
9. Plans, fees, and payment
Some features may require a paid plan. Before purchase, we will present the price, billing period, included features, and material limits. If a subscription renews automatically, that fact and the renewal period will be disclosed at purchase. You may cancel using the method then made available in the Service.
Unless otherwise stated at purchase or required by law, cancellation takes effect at the end of the current paid period and fees are non-refundable. You are responsible for applicable taxes. We may change prices prospectively after reasonable notice. Payments may be handled by a third-party payment processor under its own terms.
10. GridMagic intellectual property
The Service—including its software, designs, branding, documentation, and original content—is owned by or licensed to GridMagic and is protected by intellectual property laws. These rights do not include User Content or third-party source material.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose. These Terms do not grant you a right to use our trademarks or branding. If you provide feedback or suggestions, you allow us to use them without restriction or compensation.
11. Third-party services
The Service may interact with source websites, browsers, identity providers, spreadsheet platforms, extension marketplaces, hosting providers, retrieval providers, and payment processors. Those third-party services are governed by their own terms and privacy practices.
We do not control and are not responsible for third-party content, security, availability, policies, or actions. Compatibility with a third-party service does not imply sponsorship or endorsement.
12. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, fail to pay applicable fees, create legal or security risk, or use the Service in a way that could harm GridMagic or others. Where practical, we will provide notice and a reasonable opportunity to correct the issue.
After termination, your right to use the Service ends. Account and clip information may be deleted or retained as described in the Privacy Policy and as reasonably needed for legal compliance, security, backup recovery, or dispute resolution. Provisions that by their nature should survive termination will remain in effect.
13. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND UNINTERRUPTED OPERATION.
We do not warrant that GridMagic will successfully access any particular website, retrieve any particular value, operate without errors, or meet every user’s requirements. Nothing in these Terms excludes a warranty or right that applicable law does not permit us to exclude.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, GRIDMAGIC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL ARISING FROM OR RELATED TO THE SERVICE.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF US $100 OR THE AMOUNT YOU PAID GRIDMAGIC DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limitations apply regardless of the legal theory and even if we were advised that damages were possible. They do not apply where applicable law prohibits their application.
15. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless GridMagic and its officers, directors, employees, contractors, and affiliates from claims, damages, losses, liabilities, and reasonable expenses arising from your User Content, your use of a source website, your violation of these Terms or applicable law, or your infringement of another person’s rights.
16. Tennessee law and venue
These Terms are governed by the laws of the State of Tennessee, United States, without regard to its conflict-of-law rules. Any dispute arising from or related to these Terms or the Service must be brought in a state or federal court located in Tennessee, and you and GridMagic consent to the personal jurisdiction and venue of those courts.
17. Changes to the Service or these Terms
We may add, remove, or modify Service features and limits. We may also update these Terms. We will post revised Terms with a new effective date and provide additional notice of material changes when appropriate or required by law. Your continued use after revised Terms take effect means you accept them. If you do not agree, you must stop using the Service.
18. General terms
These Terms and policies expressly incorporated into them are the entire agreement between you and GridMagic concerning the Service. If a provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver.
You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, reorganization, financing, sale of assets, or similar transaction.
